One of the first and most important decisions you’ll make when forming your club is choosing the right legal structure. For most Level 1 clubs, this comes down to two main options: forming a Limited Liability Company (LLC) or applying for 501(c)(3) nonprofit status. Each has its own pros, cons, and legal implications.
What is an LLC?
A Limited Liability Company (LLC) is a for-profit legal structure that separates your personal assets from your business liabilities. It’s relatively easy to set up, flexible to manage, and provides strong protection from lawsuits or debts related to your club’s operations.
What is a 501(c)(3)?
A 501(c)(3) is a nonprofit organization recognized by the IRS as tax-exempt. This designation allows your club to accept tax-deductible donations and apply for grants. However, it comes with strict rules on governance, reporting, and use of funds. This usually involves hours of compliance which can be difficult for a small program.
